Community Recognition Program

SoundDraft includes a Community Recognition Program designed to acknowledge meaningful, long-term participation on the platform.

From time to time, and entirely at SoundDraft's discretion, the company may choose to recognize community contributions in connection with significant company milestones.

(Note: This program is intended as recognition only and does not create any financial entitlement or expectation.)

How the Program Works

If SoundDraft completes a qualifying liquidity event, the company may, at its sole and absolute discretion, choose to allocate up to 25% of net cash proceeds to a discretionary Community Recognition Pool.

Any such allocation:

  • Is entirely optional
  • Is non-recurring
  • May be modified, reduced, or not made at all
  • Creates no obligation on SoundDraft

No allocation will occur unless SoundDraft affirmatively elects to fund the pool.

What This Program Is — and What It Is Not

What it is

  • A discretionary community recognition program
  • A way to acknowledge meaningful participation and engagement
  • Internally tracked and viewable within the SoundDraft app
  • Based on relative activity signals over time, not financial contribution

What it is not

  • Not equity, ownership, or shares
  • Not an investment or investment opportunity
  • Not compensation, wages, or a bonus program
  • Not a security or financial instrument
  • Not a guarantee of any payment or value

Participation does not provide any rights to profits, dividends, voting, governance, or control.

Participation Weight (Internal Recognition Metric)

SoundDraft uses an internal metric called Participation Weight to reflect relative contribution to the community over time.

Participation Weight is used only for internal recognition purposes and has no standalone financial value. It may change at any time based on platform activity and program rules.

Transparency

You can view your Participation Weight and its component breakdown within the SoundDraft app. All metrics are tracked internally and are intended to provide visibility, not valuation.

Important Program Rules

Participation Weight cannot be purchased

Paid features, credits, subscriptions, or purchases do not increase Participation Weight.

Participation Weight is non-transferable

Participation Weight is tied to your account, cannot be sold, assigned, or transferred, and has no secondary market or exchange value.

Referrals must be genuine

Only referrals that result in independent, active, long-term participation are counted. Referral activity does not constitute solicitation of investments or financial participation.

Legal Clarifications

Participation in the SoundDraft Community Recognition Program:

  • Does not grant equity, ownership, voting rights, or securities of any kind
  • Does not create an expectation of profit or financial return
  • Does not constitute an offer or sale of securities in any jurisdiction
  • Does not guarantee any payment, allocation, or value

Any recognition, if provided, is:

  • Discretionary
  • Non-recurring
  • Determined solely by SoundDraft
  • Subject to modification, suspension, or cancellation at any time

Program Modification & Termination

SoundDraft may modify, suspend, or discontinue the Community Recognition Program, Participation Weight calculations, or any related features at any time, with or without notice. Past participation does not create future rights.

Participation is voluntary and should be motivated by interest in the platform itself — not by expectation of financial return.
